This article presents a conceptual review of corporate governance based on the review of Chapter II Corporate Governance in Strategic Management and Business Policy by Thomas L. Wheelen and J. David Hunger and a related journal article entitled Robust Corporate Governance Effect on the Corporate Value of Technology Companies. The purpose of this article is to reorganize the review into a more systematic and professional academic manuscript while maintaining the main sub-sections contained in the original review. This article applies a descriptive literature review approach by examining the role of the board of directors, the continuum of board involvement, board composition and structure, the Home Depot case study, and research findings on the effect of robust corporate governance on the value of technology companies. The review indicates that corporate governance is not merely a formal mechanism, but also a strategic instrument for supervising management, protecting shareholder interests, strengthening decision-making, and increasing firm value. An active, independent, and professional board of directors is a key factor in building effective corporate governance.
